These Terms and Conditions ("Terms") govern your access to and use of the MAI Preconstruction LLC website, including any content, functionality, and services offered on or through it (the "Site"). 11) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAI PRECONSTRUCTION LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED USD $100 (OR THE MINIMUM AMOUNT PERMITTED BY LAW IF THAT LIMITATION IS NOT ENFORCEABLE).
12) Indemnification
You agree to defend, indemnify, and hold harmless MAI Preconstruction LLC and its members, managers, employees, and contractors from and against claims, liabilities, damages, judgments, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or misuse of the Site.
13) Termination
We may suspend or terminate access to the Site at any time for any reason, including for suspected violations of these Terms.
14) Governing law; venue
These Terms are governed by the laws of the State of MULTNOMAH, without regard to conflict of law rules. Any dispute will be brought in the state or federal courts located in PORTLAND, MULTNOMAH, and you consent to their jurisdiction.
15) Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
